Woods resigning from his roles as President and Chief Executive Officer, and from the Board of Directors, effective June 29, 2025. The Board has appointed Darius G. Nevin, a current member of AstroNova's Board, as Interim President and Chief Executive Officer. The Board will initiate a search for a permanent successor to Mr. Woods, evaluating both internal and external candidates. Richard S. Warzala, Lead Independent Director, stated that Mr. Nevin's extensive public company executive experience and financial acumen make him well-suited to lead AstroNova during this interim period, particularly in addressing the MTEX acquisition challenges. As a direct consequence of this material change in leadership, the company's Annual Meeting of Shareholders, which was previously scheduled for July 9, 2025, has been postponed.
