AmpliTech Group Launches 2025 Unit Rights Offering to Raise Up to $32 Million

AmpliTech Group announced that the subscription period for its 2025 Unit Rights Offering began on November 11, 2025. Shareholders who owned common stock or qualifying warrants as of November 7, 2025 were deemed record holders on November 10, 2025, and the company traded ex‑right on that date.

The offering allows each shareholder to purchase up to 8 million units at $4.00 per unit. A unit consists of one share of common stock and two short‑term rights to buy additional shares. The rights offering is structured to raise up to $32 million, with a subscription deadline of December 10, 2025 and a possible extension to January 9, 2026.

Management explained that the capital will strengthen AmpliTech’s balance sheet and fund expansion in its high‑growth 5G, quantum computing, and satellite communications businesses. “We are positioning the company to capture the momentum in these markets and to scale operations to meet demand,” said the CEO. The company’s current ratio of 2.82 and debt‑to‑equity ratio of 0.12 underscore its low leverage and ability to deploy new capital efficiently.

AmpliTech’s Q2 2025 results provide context for the offering. Revenue of $11 million—well above the $3.5 million forecast—reflected strong demand for 5G ORAN products, which accounted for roughly 75 % of the quarter’s revenue. Gross margins were compressed by one‑time supply‑chain costs, but management expects margins to return to double‑digit levels within six months. The company has secured $118 million in letters of intent for 5G solutions and is the only U.S. end‑to‑end ORAN provider with a fully domestic supply chain.

Investor sentiment has been cautious because the $4.00 offering price is significantly higher than the company’s trading price of $2.75 at the time of the announcement. The dilution risk and the premium on the rights have tempered enthusiasm, even as the company’s guidance for FY 2025 revenue has been raised to at least $24 million and analysts remain optimistic about long‑term growth.

Looking ahead, AmpliTech expects to leverage the proceeds to accelerate product development, expand its satellite and quantum portfolios, and deepen its 5G customer base. Risks include continued margin pressure from raw‑material costs, potential delays in revenue realization from large contracts, and competitive pressure in the ORAN market. Nonetheless, the company’s strong pipeline, low leverage, and management’s focus on cost discipline position it to improve profitability and capture market share in the coming years.
