AmpliTech Group Raises Up to $32 Million in Rights Offering to Fund 5G, Quantum, and Satellite Expansion

AmpliTech Group is offering up to 8 million units at $4.00 per unit, with each unit comprising one share of common stock and two short‑term rights to purchase additional shares. The offering, filed with the SEC and managed by Moody Capital Solutions, is expected to generate up to $32 million in gross proceeds. The ownership cut‑off date is November 7, the record date is November 10, the offering commences on November 11, and the subscription deadline is December 10. The company retains the right to terminate the offering at any time before the expiration date.

The proceeds will be used to scale domestic manufacturing, advance research and development, deepen vertical integration, pursue strategic partnerships, and support working capital and general corporate purposes. AmpliTech plans to accelerate its expansion into 5G, quantum computing, and satellite markets. In the second quarter of 2025, the company reported revenue exceeding $11 million, a 140% year‑over‑year increase, with the 5G Open RAN division accounting for roughly 75% of that revenue. The company has invested heavily in 5G and MMIC designs and incurred one‑time costs related to scaling its 5G MNO business, which compressed gross margins in the short term. AmpliTech has no long‑term debt and has previously raised capital through a $5.8 million direct offering in December 2024, a $1.4 million offering in April 2024, and a $23 million raise in 2021.

Management stated that the rights offering is essential to fund the company’s growth initiatives and to achieve profitability by fiscal year 2026. The company expects margins to improve in the latter half of 2025 after the one‑time costs associated with its 5G expansion. The rights offering provides shareholders with the flexibility to participate in the company’s continued focus on domestic manufacturing advantages amid regulatory pressures and a rapidly expanding 5G, quantum, and satellite markets.
