Amphenol Raises $6.5 Billion in Senior Notes to Finance $10.5 Billion CommScope CCS Acquisition

Amphenol priced a $6.5 billion senior notes offering that includes seven series of debt: $500 million of floating‑rate notes due 2027; $750 million of 2027 notes at 3.800 %; $750 million of 2028 notes at 3.900 %; $1 billion of 2030 notes at 4.125 %; $1.25 billion of 2033 notes at 4.400 %; $1.6 billion of 2036 notes at 4.625 %; and $1.65 billion of 2055 notes at 5.300 %.

The proceeds, together with cash on hand and borrowings under Amphenol’s delayed‑draw term loan facilities, will fund the $10.5 billion cash consideration for the acquisition of CommScope Holding Company’s Connectivity and Cable Solutions (CCS) business, which includes the Data Center Connectivity Solutions, Broadband Communications, and Building Connectivity Solutions units, and will cover related fees and expenses.

The offering contains a mandatory redemption provision that allows Amphenol to redeem the debt at 101 % of principal if the acquisition is not consummated by the agreed date, thereby tying the debt to the transaction outcome.

The financing is expected to close on November 10, 2025, and the acquisition is projected to close by the end of Q1 2026, ahead of the original first‑half 2026 target. The CCS business is expected to contribute roughly $3.6 billion in sales and 26 % EBITDA margin in 2025, and the deal is projected to be accretive to Amphenol’s diluted earnings per share in the first full year after closing.

Amphenol has previously acquired parts of CommScope, including the Andrew satellite communication business earlier in 2025, and the $1.5 billion debt offering in October 2024 for CommScope’s mobile networks‑related businesses, underscoring its strategy to expand interconnect capabilities in the IT datacom market.
