Archrock, Inc. announced on May 1, 2025, the completion of its previously announced acquisition of Natural Gas Compression Systems, Inc. (NGCS). This strategic transaction is expected to immediately increase Archrock's scale and expand its customer relationships.
At closing, Archrock issued approximately 2.251 million new common shares to NGCSE and funded the $299 million cash portion of the total consideration using available capacity under its ABL credit facility. The company reiterated its commitment to maintaining a target leverage ratio range of between 3.0 times and 3.5 times.
The acquisition is anticipated to be immediately accretive to Archrock's 2025 earnings per share and cash available for dividend per share.
