Astrana Health, Inc. announced the closing of its acquisition of Prospect Health on July 1, 2025. The final purchase price was $708 million, a reduction from the originally announced $745 million. Prospect Health is an integrated care delivery network with over 11,000 providers across Southern California, Texas, Arizona, and Rhode Island, serving approximately 600,000 members.
The company expects Prospect Health to contribute approximately $1.2 billion in total revenue and $81 million in adjusted EBITDA on a full-year basis. Astrana anticipates realizing between $12 million to $15 million of synergies over the next twelve to eighteen months from this acquisition.
To reflect the half-year contribution from Prospect, Astrana updated its full-year 2025 guidance, raising total revenue to between $3.1 billion and $3.3 billion, and adjusted EBITDA to between $215 million and $225 million. The company also stated it has approximately $700 million of net debt on its consolidated balance sheet and aims to reduce its net leverage ratio to below 2.5x within 12 to 18 months.
