Boise Cascade to Acquire Holden Humphrey, Expanding Northeast Distribution Network

Boise Cascade announced an agreement to acquire Holden Humphrey, Inc., a two‑step distributor of building materials headquartered in Chicopee, Massachusetts. Holden Humphrey generated approximately $145 million in revenue during the past 12 months, and the deal will add a 40th distribution location to BCC’s nationwide network. The transaction is expected to close in December 2025, subject to customary closing conditions.

The acquisition is a strategic move to strengthen BCC’s presence in the Northeast, a key growth region. Holden Humphrey’s product mix—siding, wood decking, and trim with a heavy emphasis on James Hardie siding—complements BCC’s existing portfolio and reinforces relationships with suppliers such as CertainTeed and Henry. By adding Holden Humphrey, BCC will also gain access to several new product categories that are currently outside its regional offerings, broadening its market reach and deepening its two‑step distribution model.

BCC’s Q3 2025 earnings revealed a sharp decline in net income to $21.8 million from $91.0 million year‑over‑year, with earnings per share of $0.58 versus $2.33 in the prior year. Revenue remained flat at $1.7 billion, slightly above analyst forecasts, but the company missed EPS expectations of $0.73. Management cited subdued demand and commodity‑pricing headwinds as the primary drivers of the earnings shortfall. The acquisition is intended to offset these headwinds by adding a high‑margin distributor that can deliver additional revenue and margin opportunities in a region where BCC already has strong customer relationships.

While no immediate market reaction has been reported for the acquisition announcement, analysts noted mixed sentiment following BCC’s Q3 earnings. The deal is expected to improve long‑term growth prospects in the Northeast, but integration challenges and ongoing market softness remain potential risks. The transaction’s financial terms, including purchase price and valuation multiples, have not been disclosed, and the deal is subject to customary closing conditions.

Jo Barney, Executive Vice President of Building Materials Distribution, said the acquisition “leverages Holden Humphrey’s proven track record of profitable growth and strong supplier relationships to accelerate BCC’s expansion in the Northeast.” President Lance Humphrey added that the company is confident Boise Cascade will continue its tradition of quality products and services.

The transaction will add a $145 million revenue stream to BCC’s distribution network, but the lack of disclosed deal value and specific new product categories means the full financial impact remains uncertain. Nevertheless, the strategic alignment and potential for revenue synergies position the acquisition as a key component of BCC’s broader growth strategy.
