Armlogi Holding Corp. announced it has entered into a non-binding Letter of Intent (LOI) to acquire Leopard Transnational Inc., a California-based comprehensive logistics provider. This proposed acquisition is expected to enhance Armlogi's warehouse network by incorporating Leopard's 360,000 square feet of storage area in the United States.
Leopard Transnational Inc. brings over 20 years of experience in cross-border e-commerce fulfillment, offering services such as air and sea customs clearance, truck drayage, overseas warehousing, inventory management, and last-mile delivery solutions. Leopard has particular expertise serving Amazon sellers and other e-commerce platforms.
Under the terms of the LOI, Armlogi would acquire 100% of Leopard’s capital stock, with consideration including Armlogi common stock and potential earn-out payments. The transaction is subject to due diligence, negotiation of a definitive agreement, and necessary approvals, with parties anticipating finalization within 60-90 days.
