Carlyle to Acquire intelliflo from Invesco for Up to $200 Million

Global investment firm Carlyle announced on August 26, 2025, an agreement to acquire intelliflo, a market-leading provider of cloud-based practice management software for independent financial advisors in the UK, from Invesco. The purchase price is up to $200 million, comprising $135 million at closing and up to an additional $65 million in potential future earn-outs.

intelliflo, founded in 2004, supports over 30,000 professionals at approximately 2,600 advisory firms, managing around £450 billion in client assets. The transaction aims to strengthen intelliflo's market position in the UK and accelerate its growth in Australia.

As part of the deal, intelliflo's US-based subsidiaries, including RedBlack, will be established as a standalone business, allowing both entities to focus on their respective markets. Equity for the investment will be provided by Carlyle Europe Technology Partners V, leveraging its expertise in financial software and wealthtech. The closing is expected in the fourth quarter of 2025, subject to certain conditions.
