Community Health Systems Increases Tender Cap for 5.625% Senior Secured Notes Due 2027 to Full Outstanding Amount

Community Health Systems, Inc. announced an increase in the principal amount of its 5.625% Senior Secured Notes due 2027 that it can repurchase under its previously announced cash tender offer. The tender cap has been raised from $1,470 million to $1,757 million, covering the entire aggregate principal amount outstanding.

Consistent with this amendment, the financing condition of the Tender Offer has been adjusted. The Issuer's obligation to accept and pay for tendered notes is now subject to completing a debt financing yielding gross cash proceeds of $1,790 million or more.

This move demonstrates Community Health Systems' commitment to retiring the full amount of its 2027 notes, significantly reducing its near-term debt maturities. This proactive debt management strategy is expected to improve the company's financial flexibility and capital structure.
