EMCOR Group, Inc. completed the sale of its UK subsidiary, EMCOR UK, to OCS Group UK Limited on December 1, 2025, for an enterprise value of approximately £190 million (about $250 million at current exchange rates). The transaction closed after receiving UK National Security and Investment clearance and was advised by Evercore (financial) and Ropes & Gray LLP (legal) for EMCOR, with Weil, Gotshal & Manges LLP advising OCS.
The divestiture is part of EMCOR’s strategy to sharpen its focus on high‑growth U.S. markets, particularly data center, healthcare, and manufacturing sectors. By shedding a UK operation that generated FY2024 revenue of $425.5 million and operating income of $21.5 million—roughly 5% of EMCOR’s total revenue—the company expects the sale to be modestly accretive to its operating margin profile. The lower margin of the UK business, compared with the higher‑margin U.S. core segments, is the primary driver of the margin improvement.
Proceeds from the transaction will be deployed to expand EMCOR’s electrical and mechanical construction capabilities and to pursue disciplined acquisitions in the United States. Management highlighted that the capital will enable the company to deepen its service offerings in data‑center and healthcare projects, where demand is accelerating and pricing power is strong. The sale also provides financial flexibility to invest in technology and talent that support long‑term growth in the U.S. market.
Tony Guzzi, Chairman, President and CEO of EMCOR, said the completion “marks another milestone in accelerating our ‘local execution, national reach’ strategy, sharpening our focus on large, diverse and attractive end markets in the United States.” He added that the proceeds would be used to expand electrical and mechanical construction and mechanical services businesses, including through disciplined acquisitions, to deliver more comprehensive offerings to customers.
The transaction aligns with a broader industry trend of firms divesting non‑core international operations to concentrate on domestic growth opportunities. OCS Group’s acquisition of EMCOR UK strengthens its hard‑services and technical capabilities in the UK, complementing its recent acquisitions of FES FM and FES Support Services. The deal was structured with standard legal and financial advisors, and the UK National Security and Investment authority cleared the transaction, underscoring its compliance with regulatory requirements.
Overall, the sale positions EMCOR to concentrate resources on high‑margin U.S. segments, improve operating leverage, and pursue strategic acquisitions that reinforce its competitive advantage in data‑center, healthcare, and manufacturing markets. The transaction is expected to enhance financial flexibility and support the company’s long‑term growth strategy.
