Fossil Group Grants Inducement Equity Awards to New C-Suite Executives

Fossil Group, Inc. announced on April 15, 2025, that it granted equity awards as a material inducement to the employment of its newly-hired Chief Digital Information Officer and General Manager EMEA, Antonio Carriero; Chief Commercial Officer, Joe Martin; and Chief Financial Officer, Randy Greben. The grants have an effective date of April 15, 2025.

Antonio Carriero received 100,000 time-based restricted stock units (RSUs), Joe Martin received 129,581 RSUs, and Randy Greben received 150,000 RSUs. These RSUs will vest one-third on the first, second, and third anniversaries of the grant date, contingent on continuous employment. The awards were approved by the Compensation and Talent Management Committee on March 4, 2025.

These inducement awards were granted outside the company’s equity incentive plan, in accordance with Nasdaq Listing Rule 5635(c)(4). The grants are intended to align the interests of the new leadership with long-term shareholder value creation. This move reinforces the company's commitment to its recently appointed executive team.
