The Home Depot announced it has withdrawn and refiled its Premerger Notification and Report Form under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 (HSR Act) in connection with its pending acquisition of GMS Inc. The initial filing was made on July 21, 2025. This action provides the Antitrust Division of the U.S. Department of Justice with additional time for review.
Upon refiling, the waiting period under the HSR Act restarted and is now set to expire at 11:59 p.m. Eastern time on August 22, 2025. Consequently, the tender offer to acquire GMS, which was previously scheduled to expire on August 8, 2025, has been extended until August 22, 2025.
As of August 6, 2025, approximately 13,208,330 shares of GMS common stock, representing about 34.7% of the outstanding shares, had been validly tendered. The consummation of the tender offer remains subject to the expiration or termination of the HSR Act waiting period and other customary conditions.
