HealthStream announced the acquisition of MissionCare Collective LLC, a healthcare workforce company that operates the nation’s largest caregiver network, for up to $40 million. The deal consists of a $26 million cash payment, approximately $4 million in HealthStream common stock, and up to $10 million in earnout payments contingent on future performance.
The transaction adds MissionCare’s technology‑based recruitment, engagement and retention platform to HealthStream’s existing suite of workforce solutions, creating a third career network alongside NurseGrid and myClinicalExchange. By integrating MissionCare’s network of caregivers, HealthStream will broaden its reach to a larger pool of home‑care professionals and enhance its end‑to‑end workforce management services for health systems and other healthcare organizations.
HealthStream’s Q3 2025 earnings, released earlier this year, showed record quarterly revenue of $76.5 million and net income of $6.1 million, with earnings per share of $0.20 beating the consensus estimate of $0.17. The beat was driven by strong demand for the company’s platform and disciplined cost management, offsetting higher expenses for platform and SaaS investments. Management has guided 2025 revenue to $299.5 million–$301.5 million and net income to $20.3 million–$21.5 million, a level that the new acquisition is expected to support through expanded customer base and cross‑sell opportunities.
Robert A. Frist Jr., HealthStream’s CEO, said the deal “delights us to welcome MissionCare’s clients, partners, employees, and the millions of caregivers they serve to HealthStream.” Brandi Kurtyka, MissionCare’s co‑founder and CEO, added that the partnership “extends our vision to reach more caregivers, clinicians, and healthcare organizations, helping the industry recruit, engage, and retain its workforce while advancing quality of care.”
The acquisition comes at a time when staffing shortages in the home‑care sector are the single greatest challenge for providers. By adding MissionCare’s caregiver network, HealthStream positions itself as a leading ecosystem for workforce optimization, strengthening its competitive edge against rivals such as Relias, Stepful and Zocdoc. The expanded network also provides HealthStream with richer data and a larger talent pool, enabling deeper analytics, better matching, and improved retention for its customers.
Overall, the deal is a strategic move that expands HealthStream’s reach, deepens its platform capabilities, and aligns with the company’s goal of becoming the premier ecosystem for healthcare workforce solutions. The acquisition is expected to accelerate customer adoption of HealthStream’s platform‑native applications and drive growth in the coming years.
