Fusion Fuel Green PLC (Nasdaq: HTOO) announced on 2025‑10‑17 that it has signed a definitive Joint Venture Agreement with Alien Fuel (Proprietary) Limited, creating the joint venture vehicle Biosteam Energy Proprietary Ltd. Under the agreement, Fusion Fuel will hold a 51% ownership stake while Alien Fuel retains 49%.

The joint venture will manage the financing, construction, and operation of a biomass‑powered steam generation system designed to replace the fossil‑fuel boiler at Fairfield Dairy, one of South Africa’s largest dairy processing facilities. Fusion Fuel will advance a loan of R10 million (approximately €480,000) to fund the project, with repayment tied to free cash flow generated by the steam supply agreement and carbon‑credit revenues. The new boiler system is expected to be operational in the first quarter of 2026, providing a long‑term recurring revenue stream for the joint venture.

This partnership marks a significant diversification for Fusion Fuel, extending its energy‑solutions portfolio beyond green hydrogen into biomass‑based industrial decarbonization. By leveraging Alien Fuel’s proprietary biomass technology, the joint venture positions Fusion Fuel to capture a new market segment, generate additional revenue, and reinforce its commitment to sustainable, low‑carbon industrial solutions. The agreement also grants Fusion Fuel a right of first refusal for future projects within Biosteam Energy’s scope, further expanding potential growth opportunities.
