Investar Holding Corporation received the necessary shareholder votes and regulatory approvals to complete its pending acquisition of Wichita Falls Bancshares, Inc., the holding company for First National Bank in Wichita Falls, Texas.
The transaction values Wichita Falls Bancshares at approximately $83.6 million, consisting of 3,955,334 shares of Investar common stock and $7.2 million in cash. In addition, Investar completed a $32.5 million private placement of Series A convertible preferred stock to fund the deal and support general corporate purposes.
Wichita Falls Bancshares reported $1.3 billion in total assets, $1.1 billion in net loans, and $1.1 billion in total deposits as of September 30 2025. Investar Holding reported total assets of $2.8 billion as of the same date, and the combined entity will have more than $4 billion in assets.
The acquisition is expected to close on or about January 1 2026 and represents Investar’s second Texas acquisition, expanding its footprint in the North Dallas market and strengthening its competitive position in the regional banking sector.
Investar’s Q3 2025 earnings beat analyst expectations with an adjusted EPS of $0.54 versus consensus $0.46, driven by an improved net interest margin and loan growth. The deal aligns with the company’s strategy to broaden geographic reach and diversify its loan portfolio.
