NextEra Energy Capital Holdings Announces Remarketing of $2.0 Billion Series M Debentures

NextEra Energy Capital Holdings, Inc. announced it will conduct a remarketing of its Series M Debentures due September 1, 2027, with an aggregate principal amount of $2.0 billion. The remarketing is scheduled for July 29, 2025, with potential extensions to the following two business days.

These debentures were originally issued as part of NextEra Energy, Inc.'s Corporate Units on September 19, 2022, in conjunction with a Purchase Contract Agreement. If the remarketing is successful, the interest rate on the debentures will be reset, becoming effective on the third business day following the successful remarketing date.

Proceeds from the remarketing of debentures that are components of the Corporate Units will be used to purchase a portfolio of U.S. Treasury securities. These securities will then be pledged to secure the obligation of Corporate Unit holders to purchase NextEra Energy common stock on September 1, 2025.
