Nvidia completed a $1 billion equity investment in Nokia Oyj, acquiring a 2.9% stake through the issuance of 166,389,351 new shares at a subscription price of $6.01 per share.

The transaction is subject to customary closing conditions and is expected to be registered with the Finnish Trade Register in November 2025, after which the shares will be admitted to trading on Nasdaq Helsinki, Euronext Paris, and the New York Stock Exchange.

Nokia will use the capital to accelerate its AI and data‑center initiatives, including the development of next‑generation 5G and 6G RAN software that will run on Nvidia’s architecture, and to expand its network‑infrastructure portfolio.

The partnership also involves collaboration on AI‑networking solutions and the integration of Nokia’s optical and switching technologies into Nvidia’s AI infrastructure, positioning both companies to capture a larger share of the AI‑RAN market projected to exceed $200 billion by 2030.

The deal follows Nokia’s recent acquisition of Infinera Corp. for $2.3 billion and aligns with its strategy to become a key Western alternative to Huawei in providing a full portfolio of communications equipment.

Nvidia’s broader investment strategy includes backing OpenAI, Wayve, Oxa, Revolut, PolyAI, and a data‑center partnership with Deutsche Telekom, underscoring its focus on AI‑enabled infrastructure.

J.P. Morgan acted as Nokia’s financial advisor for the transaction, and the board determined that the strategic partnership provided a weighty financial reason to deviate from shareholders’ pre‑emptive rights.

Nvidia CEO Jensen Huang highlighted the partnership’s potential to help the United States regain global leadership in telecom infrastructure by making it a frontrunner in AI‑RAN.
