Ondas Holdings Completes $80 Million Acquisition of Roboteam Ltd., Expanding Ground‑Robotics Portfolio

Ondas Holdings Inc. (NASDAQ: ONDS) completed the acquisition of Israeli‑based Roboteam Ltd. on December 17, 2025, adding a proven line of rugged tactical unmanned ground vehicles (UGVs) to its autonomous‑systems portfolio.

The deal is part of Ondas’ “system‑of‑systems” strategy, which seeks to combine aerial autonomy, AI analytics, secure command‑and‑control, and now ground‑robotics into a single integrated offering for defense, homeland‑security, and public‑safety customers. Roboteam’s UGVs are already deployed in more than 30 countries and are used by Tier‑1 defense customers such as the U.S. Marine Corps and the Israeli Ministry of Defense, giving Ondas immediate credibility and a broader customer base.

Ondas’ financial performance in the third quarter of 2025 showed revenue of $10.1 million, a record for the company, but the quarter still ended in a net loss. The company raised its 2025 revenue target to at least $36 million after the quarter, reflecting confidence in the growth of its autonomous‑systems segment. In the fourth quarter, however, Ondas reported a GAAP earnings‑per‑share of –$0.06, missing estimates by $0.01. The earnings miss, combined with insider selling and mixed analyst sentiment, contributed to a negative market reaction on the day of the announcement.

Roboteam is expected to contribute $3–$4 million in revenue in the fourth quarter of 2025 and at least $30 million in 2026, a significant addition to Ondas’ projected revenue stream. The acquisition strengthens the OAS segment, which has been the primary driver of Ondas’ growth, and positions the company to pursue larger government and commercial ground‑robotics contracts.

Eric Brock, Chairman and CEO of Ondas, said the acquisition “adds proven ground robotic capabilities to our autonomous systems portfolio. Roboteam brings a respected lineup of tactical UGVs, established relationships with defense customers, and a strong engineering culture. Together, we are expanding our ability to deliver integrated autonomous solutions that improve mission effectiveness and operator safety across air and ground domains.”

The market reaction was tempered by the earnings miss and other headwinds. Investors focused on the Q4 EPS shortfall, insider selling, and a shift in analyst sentiment, which together dampened enthusiasm for the acquisition despite its strategic fit and potential revenue upside.
