Scientific Industries Inc. announced the sale of its Genie Division to Troemner, LLC, an affiliate of OHAUS Corporation, for $9.6 million in cash, subject to working capital adjustments, plus up to $1.5 million in cash earnout over a twelve-month period. This divestiture marks a strategic refocus for the company, moving away from its legacy analog business. The company is now concentrating its efforts on two high-growth, AI-driven platforms: the VIVID line of automated pill counters in pharmacy automation and Scientific Bioprocessing's DOTS platform for biomanufacturing. CEO Helena Santos stated that Scientific Industries is transforming into a deep-tech, AI-enabling company, building long-term value through SaaS-enabled, data-driven IP models and integrated hardware/software platforms. Proceeds from the Genie division sale, along with funds from a prior $1.5 million financing, will be reinvested into scaling the Torbal Division and Scientific Bioprocessing platforms. The company is developing the pharmacy industry's first machine learning pill library for VIVID, expected to launch in Q1 2026, and is positioning DOTS to enable automated, parallelized, and cost-effective data generation for advanced biomanufacturing.
