Getty Images Holdings, Inc. and Shutterstock, Inc. announced they have each received a Request for Additional Information and Documentary Material, known as a Second Request, from the U.S. Department of Justice (DOJ). This request is in connection with Getty Images’ proposed merger with Shutterstock.
The issuance of a Second Request under the Hart-Scott-Rodino (HSR) Antitrust Improvements Act of 1976 extends the waiting period for the merger. The waiting period will now last until 30 days after both companies have substantially complied with the request, unless it is voluntarily extended by the parties or terminated sooner by the DOJ.
Both Getty Images and Shutterstock stated their intention to continue working cooperatively with the DOJ and other non-U.S. regulators to obtain regulatory clearance as expeditiously as possible. The proposed transaction remains subject to Shutterstock stockholder approval and other customary closing conditions, with both parties still expecting the transaction to close in the second half of 2025.
