Venu Holding Signs Letter of Intent for 12,500‑Seat Amphitheater in Greater Houston

Venu Holding Corporation announced that it has signed a Letter of Intent with the City of Webster, Texas, to develop a 12,500‑seat, multi‑season amphitheater in the Greater Houston metropolitan area. The project, named Sunset Amphitheater Houston at Webster, will feature Venu’s signature multi‑season design, allowing year‑round operation and integrated hospitality amenities such as the Aikman Club and Luxe FireSuites.

The amphitheater will be located on a 50‑acre parcel in Webster, a suburb of Houston, and will be the largest Venu venue in Texas. The design includes a retractable canopy roof and wind‑wall technology that enables performance in all weather conditions, a key differentiator in the competitive Houston live‑music market that also hosts venues such as the Toyota Center and the Cynthia Woods Mitchell Pavilion.

Venu’s financial performance underscores the significance of the expansion. The company reported a net loss of $30.34 million for fiscal year 2024 and a net revenue of $2.77 million for the nine months ended September 30, 2025. These figures highlight the company’s ongoing profitability challenges even as it pursues aggressive growth in new markets.

The project will be financed through a public‑private partnership. The City of Webster and the Webster Economic Development Corporation will contribute $30 million in tax‑increment financing, while Venu will provide the remaining $120 million of the estimated $150 million total project cost. The partnership model has been used successfully by Venu in other Texas developments, such as the Sunset Amphitheater in McKinney and El Paso.

Economic impact studies by Younger Associates project that the amphitheater will generate $3.7 billion in regional economic activity and create more than 400 jobs over its first 20 years of operation. The study also estimates that the venue will attract an additional 200,000 visitors annually, boosting local hospitality and retail sectors.

Venu’s expansion into Texas is part of a broader strategy to reach 40 venues nationwide by 2030. In addition to the Houston project, the company is developing a 20,000‑seat amphitheater in McKinney and a 12,500‑seat venue in El Paso. The Houston LOI marks the first major investment in the Houston market, a key growth area for live‑event demand.
