VIAVI Solutions Inc. announced on December 13, 2024, that it has signed a definitive agreement to acquire Inertial Labs, Inc. The acquisition involves an initial consideration of $150 million at closing, with up to an additional $175 million in contingent consideration payable over four years. Inertial Labs, headquartered in Leesburg, Virginia, is a leading developer and supplier of high-performance orientation, positioning, and navigation solutions for aerospace, defense, and industrial applications. Its product portfolio, including Inertial Measurement Units (IMU), Inertial Navigation Systems (INS), and Assured Position Navigation and Timing (APNT) solutions, is highly complementary to VIAVI's existing PNT and aerospace and defense offerings.
The acquisition is expected to add approximately $50 million to VIAVI's Network and Service Enablement (NSE) annual revenue in calendar year 2025 and is projected to be accretive to EPS within 12 months of closing. This transaction supports VIAVI's strategy to expand its presence in domestic and international aerospace and defense segments, and accelerates its entry into autonomous air, land, and sea systems in military and industrial end markets.
