Vinci Compass Investments Ltd. (NASDAQ: VINP) announced today, 7 October 2025, that it will acquire a 50.1% stake in Verde Asset Management, a Brazil‑based multi‑strategy asset manager that manages R$16 billion in assets under management. The transaction is structured in two phases, with an initial consideration of 3.1 million new Class A common shares and R$46.8 million in cash. The first instalment consists of 2.2 million shares and R$32.4 million cash, while the second instalment of 0.9 million shares and R$14.4 million cash is contingent on revenue targets and other customary conditions.

The remaining 49.9% stake will be acquired five years after closing, with an earn‑out of R$127.4 million payable in new shares and/or cash.
